Terms of Service

Effective Date: October 31, 2026

Welcome to Numverse. These Terms of Service ("Terms") govern your access to and use of Numverse's services, platform, tools, reports, dashboards, website, and related offerings (collectively, the "Services").

By engaging Numverse, accessing the Services, or otherwise using the Services, you agree to be bound by these Terms. If you accept these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

A. About These Terms

A. ABOUT THESE TERMS

A.1. Application. These Terms apply to all Services provided by Numverse unless otherwise stated in a separate written agreement with the Client.

A.2. Business Use. The Services are intended for business and commercial use. By using the Services, you confirm that you are acting on behalf of a business, organisation, or other legal entity, or otherwise in connection with professional activities.

A.3. Acceptance of Terms. Acceptance may occur through electronic acknowledgement, enrolment in a Plan, payment of a deposit, execution of a service agreement, or use of the Services where such acceptance is legally effective.

A.4. Changes to These Terms. Numverse may amend these Terms from time to time to reflect changes in its Services, technology, business operations, security requirements, or applicable law. Where a change materially affects a Client's rights or obligations, Numverse will provide reasonable notice and obtain consent where required by law or contract. Continued use of the Services following a change will constitute acceptance only where such acceptance is legally effective.

A.5. Related Agreements. These Terms should be read alongside the applicable Plan description, service agreement, payment arrangements, Privacy Policy, and any applicable data processing agreement. Where a separate written agreement expressly governs a particular matter, that agreement will prevail in relation to that matter to the extent legally enforceable.

A. About These Terms

B. NUMVERSE SERVICES

B.1. Scope of Services. Numverse provides professional accounting services, financial reporting, bookkeeping, payroll services, financial guidance, business consulting, financial management tools, and related technology services. The specific Services provided to each Client depend on the applicable Plan and any additional written service arrangements.

B.2. Monthly Accounting Services. Where included in the Client's Plan, Numverse may provide bookkeeping, accrual accounting, cost of goods sold management, financial reporting, payroll services, year-end financial statement preparation, tax-related support, and other agreed accounting services.

B.3. Professional Standards. Numverse will perform contracted Accounting Services in accordance with the applicable service arrangements and relevant professional and legal obligations. The beta status of a Platform feature does not, by itself, reduce the standard of care applicable to separately contracted Accounting Services.

B.4. Scope of Engagement. The inclusion of a service or feature within the Numverse Platform does not automatically establish an engagement to audit, certify, independently verify, or formally approve every underlying financial record or calculation. The scope of any additional professional engagement must be expressly agreed.

B.5. No Guaranteed Business Outcomes. Numverse provides accounting services, financial information, analytical tools, and guidance to support business decision-making. Numverse does not guarantee particular levels of profitability, revenue, cash flow, tax savings, business growth, financing eligibility, or other commercial outcomes solely because a Client uses the Services.

B.6. Client Cooperation. Clients must provide accurate, complete, and timely information reasonably required for the performance of the Services. Delays, omissions, inaccuracies, or incomplete documentation may affect reporting schedules, calculations, and the delivery of agreed work.

A. About These Terms

C.4. Plan III: Platform Access for Businesses with Their Own Accountants. Plan III is intended for businesses that already engage their own accountants and wish to access the Numverse Platform. While designated as coming soon, Plan III is not available for purchase. Its features, pricing, eligibility requirements, access conditions, and service limitations will be communicated when it becomes available. No Client acquires a right to Plan III merely because it has been announced or displayed.

C.5. Plan Entitlements. A Client's entitlements are limited to the Services and features included in its selected Plan or otherwise expressly agreed in writing. Features included in one Plan are not automatically included in another.

C.6. Plan Changes. Requests to upgrade, downgrade, or otherwise change a Plan are subject to availability, acceptance by Numverse, and applicable payment or transition arrangements. Access to additional features will not be granted until the change has been confirmed.

C.7. Future Features. The inclusion of a Beta Feature in a Plan does not guarantee that the feature will be developed into a particular final product, released by a particular date, or maintained indefinitely.

A. About These Terms

D. DEPOSITS, RETAINERS, AND PAYMENTS

D.1. Deposit Credit. The deposit payable upon enrolment is credited in full towards the Client's first monthly retainer. The deposit is an advance payment and is not an additional fee charged on top of the first month's retainer.

D.2. Deposit Amounts. The deposits displayed for the available Plans are £29 for Plan I and £59 for Plan II. These amounts are credited towards the applicable first-month retainer.

D.3. First-Month Balance. Where the deposit is less than the total first-month retainer, the Client must pay the remaining balance in accordance with the applicable payment arrangements. Where the deposit equals the first-month retainer, no additional amount is due for that month's retainer, subject to any separately agreed charges or applicable taxes.

D.4. Recurring Payments. The applicable monthly retainer, subsequent payment dates, accepted payment methods, billing frequency, and any additional charges will be communicated to the Client before the relevant payment obligation arises. Payment of the deposit does not automatically discharge any recurring payment obligations beyond the amount credited to the first month.

D.5. Additional Work. Work outside the scope of an included Plan may be subject to additional fees. Numverse will communicate applicable charges or obtain agreement where required before proceeding with additional chargeable work.

D.6. Invoices and Payment Obligations. Clients must pay invoices in accordance with the applicable payment arrangements. Any payment deadlines, taxes, expenses, and additional charges will be governed by the relevant agreement or invoice.

D.7. Late Payment. Where an amount remains unpaid after its due date, Numverse may pursue payment and exercise available contractual remedies to the extent permitted by applicable law. Interest, recovery costs, and other charges must be supported by the applicable agreement and law.

D.8. Disputed Charges. Clients should notify Numverse promptly of any genuine invoice dispute and identify the amount and reasons for the dispute. The parties will attempt to resolve the matter in good faith. Undisputed amounts remain payable in accordance with the applicable payment arrangements, subject to applicable law.

D.9. Cancellation and Refunds. The deposit is credited towards the first month's retainer and is not a separate service fee. If a Client cancels before services commence, after services commence, or during the first month, the treatment of any unused amount, outstanding balance, or refund will depend on the applicable service arrangements, services already performed, and applicable law. Nothing in these Terms excludes a refund or cancellation right that the Client may have under applicable law.

A. About These Terms

E. ACCOUNTING SERVICES AND REPORTING

E.1. Financial Statements and Reports. Numverse will prepare financial statements and reports included in the Client's Plan in accordance with the agreed scope of work and applicable professional obligations.

E.2. Reporting Schedules. The standard reporting windows are the 7th to the 10th day of the following month for Plan I and the 5th to the 7th day of the following month for Plan II.

E.3. Conditions Affecting Delivery. Reporting schedules assume that the Client provides the necessary records, transaction information, supporting documents, clarifications, and approvals in sufficient time. Missing, inaccurate, or delayed information may affect delivery. Numverse will communicate material delays where reasonably practicable.

E.4. Year-End Financial Statements. Where included in the Client's Plan, Numverse will prepare year-end financial statements for tax filing in accordance with the agreed scope of work. This does not automatically mean that every tax return, statutory filing, payment, registration, or regulatory submission is included.

E.5. Payroll Services. Where payroll is included, Numverse will provide the payroll services agreed under the applicable Plan. Clients must provide accurate and timely employee information, salary details, employment changes, leave information, deductions, approvals, and other records reasonably required for payroll processing.

E.6. Client-Supplied Information. Numverse may rely on information supplied by the Client or obtained from an authorised connected source without independently verifying every item, except where verification is expressly agreed or required by applicable law or professional obligations. Numverse remains responsible for performing any agreed review, reconciliation, or verification procedures to the applicable standard.

E.7. Audits and Assurance. Bookkeeping, financial reporting, and year-end financial preparation do not automatically constitute an audit, independent assurance engagement, or certification of every underlying transaction. Any audit or assurance engagement must be expressly agreed.

A. About These Terms

F. PRIVATE WORKSPACE AND ACCOUNT SECURITY

F.1. Private Access. Numverse provides a private client workspace through which eligible Clients may access financial information, accounting outputs, dashboard features, and other tools included in their Plan.

F.2. Authorised Users. Clients are responsible for ensuring that individuals accessing their workspace are appropriately authorised and have suitable permissions to access the relevant business information.

F.3. Account Security. Clients and Authorised Users must take reasonable steps to protect their login credentials and prevent unauthorised access. Suspected unauthorised access, compromised credentials, or suspicious activity must be reported to Numverse promptly.

F.4. Account Activity. Clients are responsible for managing user permissions and reviewing activity within their accounts. This does not make a Client responsible for activity caused by Numverse's own breach, negligence, security failure, or other conduct for which Numverse is legally responsible.

F.5. Prohibited Conduct. Users must not:

a. access another Client's information without authorisation;

b. bypass authentication, security controls, or usage restrictions;

c. interfere with or compromise the operation or security of the Platform;

d. introduce malicious software or harmful code;

e. scrape, extract, or collect Platform information through unauthorised automated means;

f. copy, resell, sublicense, or commercially exploit proprietary Platform features without permission;

g. reverse engineer or attempt to obtain source code, except where applicable law expressly permits it;

h. upload information they have no lawful right to provide;

i. use the Platform for fraud, unlawful conduct, or infringement of another person's rights; or

j. misuse Numverse's confidential materials to develop a competing product without authorisation.

F.6. Security Restrictions. Numverse may implement authentication measures, access restrictions, usage limits, and other safeguards to protect Clients and the Platform. Where reasonably necessary to address a credible security threat, Numverse may temporarily restrict access while investigating or resolving the issue.

A. About These Terms

G. FINANCIAL DASHBOARD

G.1. Purpose. The Financial Dashboard provides a consolidated view of selected financial information, reports, and analytical outputs available through Numverse.

G.2. Source Information. Information displayed may originate from accounting records, Client submissions, connected services, or calculations performed by the Platform.

G.3. Accuracy and Timing. A dashboard may not display every financial record or update immediately following an underlying transaction. Information may be affected by synchronisation delays, missing records, categorisation differences, or limitations in connected systems.

G.4. Reliance on Dashboard Information. Dashboard information is intended to support financial visibility and internal decision-making. Clients should review the relevant source records and seek professional clarification where necessary before relying on material information for accounting, tax, payroll, or financial decisions.

A. About These Terms

H. ANATOMY BETA

H.1. Purpose. Anatomy is a visual financial feature intended to help Clients organise, explore, and understand selected business information through graphical representations and connected visual structures. It may serve as a visual memory environment for financial information and related business context.

H.2. Beta Status. Anatomy is a Beta Feature. Its functionality, interface design, performance, visual representations, and available capabilities may change as the feature develops. It may contain bugs, limitations, incomplete functionality, or temporary interruptions.

H.3. Interpretation. Visual representations are intended to assist understanding and do not automatically constitute verified accounting conclusions, audit findings, or professional advice. A graph, connection, grouping, or visual pattern may simplify complex information and should not be assumed to capture every relevant financial relationship.

H.4. Changes and Availability. Numverse may modify, restrict, temporarily disable, or discontinue Anatomy Beta as part of development, maintenance, or security improvements. Material changes affecting paid entitlements will be handled in accordance with applicable contractual commitments and law.

A. About These Terms

I. SIMULATION LAB BETA

I.1. Purpose. Simulation Lab is a financial sandbox intended to allow users to explore hypothetical scenarios, assumptions, and potential business outcomes. It may help Clients consider alternative approaches to revenue, expenditure, cash flow, profitability, and other financial variables.

I.2. Hypothetical Results. Simulation results depend on the assumptions, inputs, data, and models used. They do not guarantee future results or establish that a particular business decision will produce a particular outcome.

I.3. Limitations. Actual results may differ substantially from a simulation due to economic conditions, market changes, business decisions, unforeseen events, incorrect assumptions, or incomplete data.

I.4. Client Responsibility. Clients must independently evaluate assumptions and review material outputs before acting on them. Simulation Lab is not a substitute for an agreed accounting engagement, a verified financial forecast, or professional advice tailored to a specific decision.

I.5. Beta Status. Simulation Lab may be modified, interrupted, or withdrawn as development progresses. Numverse does not guarantee that all planned capabilities will become available or that simulated outcomes will remain consistent across different versions of the feature. These limitations do not reduce Numverse's separate responsibilities under an Accounting Services agreement.

A. About These Terms

J. TAX WATCH BETA

J.1. Purpose. Tax Watch is designed to help Clients monitor financial activity and view accumulating tax-related estimates based on available transaction data and applicable calculation methods.

J.2. Transaction Data. The feature may use imported bank transactions, accounting records, categorisation rules, and other available information to produce an indicative view of potential tax obligations.

J.3. Estimates and Tax Liability. Amounts displayed by Tax Watch are estimates unless Numverse expressly confirms otherwise through an appropriately scoped professional service. An accumulating tax figure must not automatically be treated as the final amount owed to a tax authority or as confirmation that all tax obligations have been identified.

J.4. Calculation Limitations. Tax Watch may be affected by delayed, incomplete, duplicated, or missing transactions; incorrect classifications; missing supporting documents; changes in tax legislation or rates; the treatment of VAT, deductible expenses, payroll taxes, corporation tax, reliefs, exemptions, and other tax rules; the Client's business circumstances; and technical limitations in connected services.

J.5. Client Review. Clients must review material discrepancies, provide accurate records, and seek appropriate clarification where a displayed amount appears inconsistent with their records or obligations. Where tax preparation or compliance is included in the Client's Plan, Numverse's professional responsibilities will be governed by the applicable Accounting Services arrangement.

J.6. Beta Status. Tax Watch is a Beta Feature. Its calculations, categorisation, interface, and functionality may change during development. Its beta designation applies to the software feature and does not serve as a blanket disclaimer for separately contracted tax preparation or compliance services.

A. About These Terms

K. MONEY CONCIERGE AI PROTOTYPE

K.1. Purpose. Money Concierge is an AI-assisted financial tool intended to help Clients ask questions about their business finances and receive explanations, summaries, and analytical observations based on available information. The feature may connect to Xero and other authorised sources to provide context for its responses.

K.2. Prototype Status. Money Concierge is currently a prototype. Its responses, capabilities, integrations, and underlying models may change as the feature develops. The feature may experience interruptions, produce unexpected responses, or fail to support a particular request.

K.3. AI-Generated Outputs. AI-generated outputs may be inaccurate, incomplete, outdated, misleading, or inconsistent with the Client's actual circumstances. The feature may misunderstand questions, overlook important information, misinterpret transactions, or produce incorrect calculations and explanations.

K.4. Verification. Clients must independently verify material outputs before relying on them for significant financial, accounting, tax, payroll, legal, or commercial decisions.

K.5. No Automatic Professional Approval. An answer generated by Money Concierge is not automatically an approved Numverse accounting deliverable or formal professional opinion. Its generation does not establish that a qualified professional has reviewed the answer, verified the underlying records, or approved the proposed course of action.

K.6. Professional Services. Where Numverse separately undertakes to provide professional advice or prepare an accounting deliverable, that service remains governed by its applicable professional obligations and agreement.

K.7. Connected Information. The accuracy of Money Concierge depends in part on the information available through connected systems. Clients must ensure that integrations are properly authorised and that relevant records are complete to the extent reasonably possible. Clients should not assume that the feature has access to every account, transaction, document, or relevant piece of business information.

K.8. AI Processing and Confidentiality. Information processed by Money Concierge may be handled by external AI or infrastructure providers. Relevant providers, processing purposes, retention arrangements, and safeguards will be addressed in Numverse's applicable privacy documentation and contractual arrangements. Acceptance of these Terms does not constitute blanket permission to use identifiable Client financial information for unrelated commercial purposes or unrelated AI model training.

K.9. Changes. Numverse may modify, restrict, suspend, or discontinue Money Concierge as part of product development, security improvements, or changes to external services. No particular AI capability or future release is guaranteed unless expressly agreed in writing.

A. About These Terms

L. THIRD-PARTY SERVICES AND XERO INTEGRATION

L.1. External Providers. Numverse may integrate with external accounting systems, financial data providers, AI services, cloud infrastructure, and other technology providers. The availability and operation of these integrations may depend on external systems that Numverse does not control.

L.2. Authorisation. Clients must provide appropriate authorisation before Numverse accesses information through a connected account. Clients are responsible for ensuring that they have the necessary rights and permissions to connect the relevant account and share its information.

L.3. Third-Party Changes. External providers may change their systems, APIs, permissions, pricing, or availability. Such changes may affect the operation of Numverse features that rely on those providers. Numverse will take reasonable steps to address issues within its control and will honour applicable contractual commitments.

L.4. Third-Party Terms. Clients must comply with applicable terms governing connected services. These Terms do not grant Clients rights to third-party software or materials beyond those provided by the relevant owner or provider.

L.5. Disconnection. Clients may revoke access to a connected service through the relevant platform or provider where supported. Disconnection may prevent further synchronisation and affect features that depend on the integration. It does not necessarily delete information already held by Numverse.

L.6. Data Following Disconnection. Data retention and deletion following disconnection are governed by the Privacy Policy, applicable agreements, and legal requirements.

A. About These Terms

M. SUPPORT AND FINANCIAL GUIDANCE

M.1. Plan I Support. Plan I includes support through the Numverse workspace and email, with a stated response window of 24 hours, subject to the applicable support arrangements. Plan I also includes monthly financial guidance.

M.2. Plan II Support. Plan II includes support through the Numverse workspace and email, with a stated response window of 24 hours and priority handling. Plan II also includes biweekly financial guidance.

M.3. Response Windows. A response window refers to the intended timeframe for acknowledging or responding to a support request, not necessarily the time required to resolve the underlying issue. Resolution may depend on complexity, information availability, third-party providers, and other relevant circumstances.

M.4. Priority Handling. Priority handling means that eligible requests receive preferential handling under the applicable support process. It does not guarantee immediate resolution or override legal, security, or professional requirements.

M.5. Guidance Scope. Financial guidance is provided within the scope of the selected Plan and applicable professional arrangement. It does not automatically constitute a separate engagement for investment advice, legal advice, regulated financial services, or any other service outside the agreed scope.

A. About These Terms

N. INTELLECTUAL PROPERTY

N.1. Numverse Ownership. Numverse retains ownership of its Platform, software, branding, designs, proprietary systems, analytical methods, templates, interfaces, documentation, and other materials developed or owned by Numverse, subject to third-party rights.

N.2. Limited Licence. Subject to these Terms and the applicable Plan, Numverse grants Clients a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform for their internal business purposes while authorised access remains in effect.

N.3. Restrictions. Clients must not reproduce, distribute, modify, resell, sublicense, or commercially exploit Numverse's proprietary materials without permission, except where applicable law expressly permits the relevant activity.

N.4. Client Data. As between Numverse and the Client, the Client retains its rights in Client Data, subject to third-party rights and applicable law. The Client authorises Numverse to process Client Data as reasonably necessary to provide the agreed Services, operate the Platform, maintain security, troubleshoot issues, and comply with legal obligations.

N.5. Professional Deliverables. Ownership and permitted use of reports, financial statements, workpapers, and other professional deliverables will be governed by the applicable service arrangements. Unless otherwise agreed, Numverse retains ownership of its pre-existing software, methods, templates, and reusable materials used to produce those deliverables.

N.6. Feedback. Numverse may use suggestions and feedback voluntarily provided by Clients to improve its Services, provided that doing so does not improperly disclose confidential information or misuse Client Data.

N.7. Reservation of Rights. All rights not expressly granted under these Terms remain reserved by their respective owners.

A. About These Terms

O. CONFIDENTIALITY

O.1. Confidential Information. Each party may receive confidential information belonging to the other in connection with the Services. Confidential information may include financial records, business plans, pricing, technical information, commercial strategies, client information, and security details.

O.2. Protection Obligations. Each party must use the other party's confidential information only for legitimate purposes connected with their relationship, take reasonable steps to prevent unauthorised access or disclosure, and limit access to personnel, professional advisers, and service providers who reasonably need the information and are subject to appropriate confidentiality obligations.

O.3. Exclusions. Confidential information does not include information that is lawfully public, independently developed without reliance on the confidential information, lawfully known before disclosure without a confidentiality obligation, or lawfully obtained from a third party without a duty of confidentiality.

O.4. Required Disclosure. A party may disclose confidential information where required by law, a court, or a competent regulatory authority. Where legally permitted and reasonably practicable, the disclosing party should provide advance notice.

O.5. Continuing Obligations. Confidentiality obligations continue after termination for as long as the relevant information remains confidential, subject to applicable law and any more specific contractual requirements.

A. About These Terms

P. PRIVACY AND DATA PROTECTION

P.1. Privacy Policy. Numverse's Privacy Policy explains how personal information is collected, used, disclosed, stored, and otherwise processed in connection with the Services.

P.2. Client Responsibilities. Clients must ensure that they have the necessary authority and lawful basis to provide Numverse with personal data relating to employees, directors, customers, suppliers, and other individuals. Clients must not provide information they are not legally entitled to disclose.

P.3. Data Protection Roles. The roles of Numverse and its Clients under applicable data protection law depend on the relevant processing activities. Where Numverse acts as a processor on behalf of a Client, a separate data processing agreement will apply where required.

P.4. AI and External Processing. Certain Services may rely on external AI providers, cloud infrastructure, or other service providers. Relevant processing purposes, providers, retention arrangements, and safeguards must be addressed in applicable privacy documentation and contractual arrangements.

P.5. Retention and Deletion. Client Data will be handled in accordance with the applicable agreements, Privacy Policy, data processing arrangements, and legal retention obligations. The end of a Client's subscription does not necessarily result in immediate deletion of all information, particularly where retention is legally required or necessary for legitimate professional recordkeeping.

P.6. Data Access and Export. Where applicable, Numverse will provide access, export, return, or deletion arrangements in accordance with its contractual obligations and applicable law.

A. About These Terms

Q. PLATFORM AVAILABILITY AND CHANGES

Q.1. Availability. Numverse will use reasonable efforts to maintain the availability of its Services in accordance with applicable commitments. The Platform may experience downtime, errors, maintenance periods, interruptions, or reduced functionality.

Q.2. Maintenance and Updates. Numverse may perform maintenance, security updates, technical improvements, and product changes. Where reasonably practicable, material planned interruptions will be communicated in advance.

Q.3. Beta Features. Beta Features may be modified, restricted, suspended, or withdrawn as part of development. Numverse does not guarantee that a Beta Feature will remain available, achieve a particular level of functionality, or be released as a final product.

Q.4. Professional Services Unaffected. The limitations applicable to Beta Features do not automatically reduce the standard of separately contracted Accounting Services.

Q.5. Material Changes. Where a Platform or service change materially affects an existing Client's paid entitlements, Numverse will act in accordance with the applicable agreement and applicable law.

A. About These Terms

R. SUSPENSION AND TERMINATION

R.1. Suspension. Numverse may temporarily suspend or restrict access where reasonably necessary to address suspected unauthorised access, security threats, suspected fraud, unlawful activity, material breaches of these Terms, material non-payment, legal or regulatory obligations, or conduct that presents a material risk to Numverse, its Clients, or the Platform.

R.2. Notice. Where reasonably practicable, Numverse will notify the Client of the reason for suspension and any reasonable steps required to restore access.

R.3. Termination. Termination of a Client's Accounting Services and Platform access will be governed by the applicable Plan and service arrangements. Where a material breach is capable of remedy, the affected party should ordinarily provide written notice and a reasonable opportunity to remedy it before terminating the relevant arrangement, unless immediate termination is justified by law or the circumstances.

R.4. Consequences of Termination. Following termination, the Client's right to access the Platform may end, subject to any agreed transition or export period. Outstanding payment obligations remain subject to the applicable agreement. Client Data will be handled under the applicable retention, return, and deletion arrangements. Confidentiality and intellectual property obligations will continue as applicable.

R.5. Continuing Professional Obligations. Termination of Platform access does not automatically extinguish any continuing contractual or professional obligations relating to accounting records or services already undertaken by Numverse.

R.6. Transition Assistance. Requests for records, exports, transition assistance, and related services will be handled in accordance with the applicable agreement and legal requirements.

A. About These Terms

S. DISCLAIMERS AND LIMITATION OF LIABILITY

S.1. Appropriate Use. The Platform is intended to support financial visibility, organisation, analysis, and business decision-making. Dashboard information, simulations, visualisations, and AI-generated outputs must be assessed according to their purpose and limitations.

S.2. No Guaranteed Outcomes. Numverse does not guarantee a particular level of profitability, revenue, cash flow, tax savings, business growth, financing eligibility, or other commercial result solely because a Client uses the Platform or receives financial guidance.

S.3. Professional Obligations. Nothing in these Terms excludes or reduces Numverse's responsibility to perform contracted Accounting Services in accordance with the applicable agreement and professional obligations. A disclaimer relating to software limitations does not excuse professional negligence or a failure to perform an agreed service.

S.4. Non-Excludable Liability. Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where such liability cannot lawfully be excluded, or any other liability that cannot lawfully be excluded or restricted.

S.5. Categories of Loss. Any exclusion of indirect or consequential losses, loss of profits, loss of revenue, loss of anticipated savings, or other categories of loss will apply only to the extent permitted by applicable law.

S.6. Liability Limits. Any monetary liability cap must be interpreted consistently with applicable law, the nature of the Services, and the parties' express contractual commitments. No general limitation in these Terms overrides a liability that cannot legally be limited.

S.7. Mitigation. Each party must take reasonable steps to mitigate loss where required by applicable law.

A. About These Terms

T. INDEMNIFICATION

T.1. Client Responsibility. To the extent permitted by applicable law, a Client may be responsible for reasonable losses arising from its unlawful use of the Platform, infringement of third-party rights, unauthorised provision of information, fraud, or material breach of these Terms.

T.2. Scope. Any indemnity applies only to the extent the relevant loss is attributable to the Client's conduct.

T.3. Exclusions. No indemnity requires a Client to compensate Numverse for losses arising from Numverse's own breach, negligence, wilful misconduct, or other conduct for which the Client cannot lawfully be held responsible.

T.4. Claims. A party seeking indemnification must provide reasonable notice of the relevant claim and cooperate appropriately in its resolution.

A. About These Terms

U. AMENDMENTS TO THESE TERMS

U.1. Updates. Numverse may update these Terms to reflect changes in its Services, Platform functionality, security requirements, business operations, or applicable law.

U.2. Material Changes. Where a change materially affects a Client's rights or obligations, Numverse will provide reasonable notice and obtain consent where required.

U.3. Accrued Rights. Changes will not retrospectively alter accrued rights or liabilities unless the parties validly agree otherwise.

U.4. Disagreement with Changes. Where a Client does not agree to a material change, the Client's rights will be determined by the applicable agreement and law.

A. About These Terms

V. GENERAL PROVISIONS

V.1. Entire Agreement. These Terms, together with the applicable Plan arrangements, service agreements, Privacy Policy, and any applicable data processing agreement, govern the relevant relationship between Numverse and the Client.

V.2. Severability. If any provision is found to be unlawful, invalid, or unenforceable, it will be modified to the minimum extent necessary where legally permitted. If modification is not possible, the provision will be severed without affecting the remaining provisions.

V.3. No Waiver. A failure or delay in exercising a right under these Terms does not constitute a waiver of that right.

V.4. Assignment. Clients may not transfer their rights or obligations under these Terms without Numverse's prior written consent, except where applicable law provides otherwise. Numverse may transfer its rights and obligations as part of a legitimate business restructuring or transfer, subject to applicable contractual and legal requirements.

V.5. Force Majeure. Neither party will be responsible for a failure or delay caused by circumstances beyond its reasonable control, subject to applicable law and any payment obligations already accrued. The affected party will take reasonable steps to reduce the impact and resume performance as soon as practicable.

V.6. Electronic Acceptance. Where legally valid, these Terms may be accepted electronically through the website, workspace, an electronic signature, or another method that records the user's agreement. Numverse may retain appropriate records of acceptance.

V.7. No Partnership or Agency. These Terms do not create a partnership, joint venture, employment relationship, or agency between Numverse and a Client unless expressly agreed in writing.

V.8. Third-Party Rights. Except where expressly stated otherwise, these Terms do not confer enforceable rights on a person who is not a party to them, subject to any rights available under applicable law.

A. About These Terms

W. DISPUTES AND APPLICABLE LAW

W.1. Good-Faith Resolution. The parties should first attempt to resolve disputes through good-faith discussions between authorised representatives. A party raising a dispute should explain the issue and the outcome sought.

W.2. Alternative Dispute Resolution. Where appropriate, the parties may agree to mediation or another dispute resolution process.

W.3. Urgent Relief. Nothing in these Terms prevents a party from seeking urgent relief where necessary to protect its legal rights.

W.4. Applicable Law and Forum. The applicable governing law and forum for disputes will be determined by the contractual arrangements between the parties and the relevant legal rules. Nothing in these Terms is intended to exclude mandatory legal protections or jurisdictional rules that apply regardless of contractual wording.
